SheKnows Rewards Program Official Rules
The Rewards Program Service (the "Service"), owned and operated by SheKnows, LLC ("Service Provider", "we", "us" or "our"), owner of www.sheknows.com (together with all subdomains of that URL, the "Site") is provided to you ("you," "your" or "User") under the following Rules, including any amendments thereto and any additional rules or policies that may be applicable to particular offerings made in connection with the Service (collectively, the "Rules").
1. Description of the Service:
The Service is a program where registered Users may accrue "Credits" by engaging in certain activities, and may, in turn redeem Credits for certain award offers ("Prizes") provided by us, third party promotional partners or advertisers (collectively "Promotional Entities"). Credits accrued in the Service are non-transferable to other Users or Accounts and have no cash or monetary value.
2. Acceptance of Rules by Use:
a. By using this Service and visiting our Site, you consent to our site's TERMS OF USE, the Rules herein as well as any other specific terms and condition as may be applicable to individual offerings made through the Service. Your failure to follow the Rules, whether listed below or in supplemental notices posted at various points in the Service, may result in termination of your access to the Service and cancellation of all Credits or prizing you have accrued through the Service, without notice, in addition to Service Provider's other remedies. Access to and use of the Service is subject to the terms of our Privacy Policy, these Rules and all applicable laws and regulations, including laws and regulations relating to copyright and trademark. The following rules may be modified by Service Provider from time to time without notice. Any such changes shall be reflected in the updated version of the Rules posted on this Site and shall govern all use of the Service by users.
b. Your use of the Service is at your own risk. By participating in the Service, all Users: (1) agree to be bound by the Rules; (2) agree to release, discharge and hold harmless Service Provider, and their respective parent companies, and their employees, subsidiaries, affiliates, divisions, Promotional Entities, fulfillment and/or judging agencies, and related entities from any and all liability from any loss, harm, damages, costs or expenses of any kind arising from or in connection with Service, including without limitation property damages, personal injury and/or death, the redemption of Credits, the acceptance, possession, use or misuse of any Prize, or claims based on publicity rights, defamation or invasion of privacy, and (3) consent to the use of their names, voices, pictures, and likenesses for advertising and promotional purposes in any medium throughout the world in perpetuity without additional compensation unless prohibited by law.
3. Eligibility:
Users must be legal residents of the United States or Canada, aged 18 years or older at the time of entry to be eligible. Void where prohibited by law. Employees of SheKnows, LLC and any Promotional Entities and their respective parent companies, subsidiaries, affiliates, divisions, advertising and promotion, fulfillment and/or judging agencies, and related entities, and their immediate families are not eligible.
4. Membership Enrollment:
a. Eligible individuals may enroll in the Service at http://rewards.sheknows.com/. To enroll, a User must click on the "Sign Up" link on the top of the page and follow the onscreen instructions to create a personal profile on the Site. Once signed up for the Site, Users will have the opportunity to register for the Service by (i) checking the box confirming that User has reviewed and agrees to the Site's Terms of Use, the Rules, and the Site's Privacy Policy, and (b) clicking on "Enable Rewards Now" to create a personal account for the Service (the "Account"). Once you register for an Account, you will be entered in the Service (the "Entrant"). The number of credits you collect through the Service will be recorded and tracked in your Account.
b. You agree to provide true, accurate, current and complete information about yourself when registering for your Account and to maintain and promptly update the personal data in your Account to keep it true, accurate, current and complete. If you provide any information that is not true, inaccurate, not current or incomplete; or if we or any of our service providers have reasonable grounds to suspect that such information is not true, inaccurate, not current or incomplete; we have the right to suspend or terminate your Account and to refuse any and all current or future use of the Service (or any portion thereof) by you. Only one Account per person and a maximum of two Accounts per household are permitted. To receive Prizes, your shipping address must be correct and current. Credits relating to any Prizes returned for incorrect addresses will not be credited back to your Account.
c. SERVICE PROVIDER IS NOT RESPONSIBLE FOR ANY INCORRECT OR INACCURATE INFORMATION SUPPLIED BY ENTRANTS WHILE PARTICIPATING IN THE SERVICE.
5. Earning Credits :
a. To earn and accumulate Credits, you must undertake an activity described in a Service-authorized promotion for earning Credits, which may include, but is not limited to: leaving comments on articles posted on the Site, sharing posts from the Site via social media; participating in surveys, sweepstakes; subscribing to and reading certain email newsletters; visiting designated Site pages or pages of partner websites; registering for a designated product or service; or engaging in other online activities for which Credits will be awarded in connection with the Service (the "Activity"). We expressly reserve the right to establish additional means of accruing Credits; to remove any or all of the means currently in effect; to exclude certain types of transactions from the accumulation of Credits; to specify periods after which unused Credits will be forfeited or reduced in percentage.
b. Credit values will be listed on the Site in connection with the associated Activity and updated from time to time. Credits can be accrued only for Activity taken and completed by you and can be applied only to your personal Account. You may earn Credits from only one computer or network access point at any given time; simultaneous Activity on multiple computers for one Account will not be credited. As a member of the Service you will automatically be signed up to receive our Service newsletter, at any time after sign up you may opt out of the newsletter by clicking on the unsubscribe link at the bottom of each newsletter .
c. We will use reasonable efforts to allocate earned Credits to your Account; however, you are responsible for ensuring that Credits are properly credited. Any Credits earned by an action that is subsequently cancelled by you will be removed from your Account after such cancellation. If you believe that Credits have been earned but not credited, we reserve the right to require proof of accrual; including, but not limited to, copies or receipts or similar documentation verifying any transactions claimed to have been performed. We must receive any claims of Credits by you and proof of accrual within two months after the date such Credits are claimed to be earned. Credits will be maintained in your Account until they are redeemed for a Prize or are forfeited, whichever occurs first. The validation of Credits earned will be subject to verification by Service Provider whose decisions on the outcome, as well as any decisions regarding Credit balances, Prizes, forfeitures, and the identity of any individual accessing an Account, are in our sole discretion and are final and binding.
d. CREDITS DO NOT CONSTITUTE PROPERTY OF AN ENTRANT AND MAY BE REVOKED AT ANY TIME BY SERVICE PROVIDER AS SET FORTH IN THESE RULES. CREDITS MAY NOT BE TRANSFERRED OR ASSIGNED.
e. Entrants who were previously enrolled in the Site's "Points and Prizes" service will be allowed to remain enrolled in both the Service and Points and Prizes until Points and Prizes is terminated. Users of Points and Prizes will be given the opportunity to convert their unclaimed points to Credits. Once Points and Prizes is terminated, each User's unclaimed points will be automatically converted to Credits. The conversion of points to Credits will be at a rate of 15:1 (ex. 15,000 Points and Prizes points will convert to 1,000 Credits).
6. Sweepstakes :
To the extent Credits are used in connection with the entry of any sweepstakes or related activity that is offered on the Site, such sweepstakes shall be governed by a set of sweepstakes rules as well as applicable law. Site users must be living in the United States or Canada (other than in Rhode Island and Quebec) to be eligible for entry in any of our sweepstakes offerings.
7. Prizes :
a. You may redeem Credits for Prizes, which may include merchandise, discounts, sweepstakes entries, offers and other items of value listed in the Prizes section of the Site while supplies last, provided that your Account is in good standing at the time of the Credits redemption request. The Site will list the corresponding Credit value required to redeem each Prize. You must comply with the individual Prize limitations where indicated on the Site. Service Provider will periodically modify the list of Prizes and reserves the right to modify or cancel any Prize offering or to modify the Credit values of Prizes, at any time for any reason.
b. You can choose any Prize still available for which you have accumulated sufficient Credits for redemption. You are responsible for ensuring the accuracy of your Account and you are encouraged to check your Account regularly. Credits earned in two or more different Accounts may not be combined to redeem or bid for any Prize.
c. To spend/ redeem your Credits, navigate through the Prizes listed on the Site or listed on any partner websites. By linking to a partner website, the personal data from your Account may be shared with that partner and will be governed by that website's privacy policy. Click the image corresponding to the Prize you wish to redeem and follow the links and instructions to complete the redemption process.
d. As part of the redemption process you will receive a confirmation email and when applicable, an email containing the actual item you have redeemed in the form of a digital code, coupon, etc. Emails will be sent to the email address assigned to your Account. Prizes will only be shipped to locations within the continental United States or Canada. It is your responsibility to ensure that the mailing address associated with your Account is accurate and up to date. Changes to Accounts or Account information may only be made by the Entrant to whom the Account belongs. You will be fully responsible for certain shipping/delivery fees, as well as any and all federal, state and local taxes and we reserve the right to require completion of applicable tax reporting forms, affidavits of eligibility, and/or waiver of rights documentation as a condition of receiving any Prize. Thus, a valid credit card may be required to complete the redemption process.
e. All Credit redemptions for Prizes are final. Redeemed Prizes are not refundable, exchangeable, replaceable, redeemable, or transferable for cash, credit, other Prizes, or Credits under any circumstances. Any and all issues related to the Prize are governed by the terms and conditions of the vendor for such Prize and are not the responsibility of the Service Provider.
8. Reservation of Rights:
a. The Service and its benefits are offered at our sole discretion, and we have the right to modify or discontinue, temporarily or permanently, the Service, including the amount of Credits of any User, in whole or in part, for any reason, at our sole discretion. We may, among other options, withdraw, limit, modify or cancel any Prize; increase the Credits required for any Prize; or modify or condition any of the Prizes or benefits. You agree that we will not be liable to you or any third-party for any modification or discontinuance of the Service, in whole or in part. Credits may expire based on criteria determined and announced by us due to inactivity or as otherwise determined. In addition to all rights to terminate user Accounts at our discretion, we reserve the right to suspend or close any Account that has not been accessed for a period of six (6) month or greater and eliminate all accrued Credits therein.
b. We may prohibit Users from participating in the Service and disqualify entries if you (1) attempt to enter the Service through any means other than as described in these Rules, (2) attempt to disrupt the Service or circumvent the Rules in any way or (3) repeatedly show a disregard for the Rules or act (a) in an unsportsmanlike manner, or (b) with an intent to annoy, abuse, threaten or harass any other User or Service Provider. Service Providers' decisions with respect to the Service are final.
9. Account Security:
You will receive a password and Account designation upon completing the registration process. You agree to maintain the confidentiality of your password and Account, and that you are fully responsible for all activities that occur under your password or Account. You agree to immediately notify us of any unauthorized use of your password or Account or any other breach of security, and to logout at the end of each session. We will not be liable for any loss or damage arising from your failure to comply with these conditions. If for any reason your Account is terminated by either you or by us, all of your Credits accrued will be forfeited.
10. Privacy and Use of Information :
The information that you provide in connection with use of the Service or in connection with any entry into a sweepstakes offered by the Site may be used for Service Provider's internal purposes, but will not be provided to third parties, except as necessary for the administration of the Service (i.e. to the Promotion Entities to send Prizes) or as required by law or legal process. Any User who does not wish Service Provider and/or Sponsor to send information to the User about its products should not participate in the Service. Entry constitutes permission to post names of winners of any Activity on Site and to use such winner's name, hometown and/or likeness for purposes of advertising and promotion without further compensation unless prohibited by law. By participating in the Service, you agree that we may collect and use personal information about you that you provide to us in accordance with our Privacy Policy. By using the Service, you agree to be bound by the terms of our Privacy Policy.
11. Disclaimer
a. The Service contains information, facts and opinions from various sources. The Service is provided on an "as is" basis without warranties of any kind, either express or implied, including but not limited to warranties of title or implied warranties of merchantability or fitness for a particular purpose, other than those warranties which are imposed by and incapable of exclusion, restriction or modification under the laws applicable to this agreement. Neither SheKnows, LLC nor any of its affiliates endorse or are responsible for the accuracy or reliability of any opinion, advice or statement on the Service.
b. If for any reason this Service is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Service Providers which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Service , the Service Providers reserve the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Service , at which time, Service Providers will conduct a random drawing from among all eligible entries received at the time of the Service termination. The Service Providers assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Service Provider is not responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by the Service Provider due to technical problems, human error or traffic congestion on the Internet or at any Web Site, or any combination thereof, including any injury or damage to User's or any other person's computer relating to or resulting from participating in this Service or downloading any materials in this Service. WE ARE NOT RESPONSIBLE FOR INCOMPATIBILITY OF ENTRANT'S HARDWARE, SOFTWARE OR BROWSER TECHNOLOGY WITH OUR HARDWARE, SOFTWARE OR BROWSER TECHNOLOGY. NOTE: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SERVICE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SERVICE PROVIDER RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON/S RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity or eligibility of a winner based on an email address, the winning entry will be declared made by the "Authorized Account Holder" of the email address submitted at time of entry. "Authorized Account Holder" is defined as the person 18 years of age or older who is assigned to an email address by an Internet access provider, on-line service provider, or other organization (e.g. business, education institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Use of automated devices is not valid for entry.
12. Limitation of Liability:
a. NEITHER SERVICE PROVIDER NOR ANY OF ITS SUBSIDIARIES, DIVISIONS, AFFILIATES, AGENTS, REPRESENTATIVES OR LICENSORS SHALL BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY OR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR SIMILAR DAMAGES ARISING OUT OF YOUR ACCESS OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE AND THE INFORMATION AVAILABLE ON THE SERVICE OR ARISING OUT OF ANY ACTION TAKEN IN RESPONSE TO OR AS A RESULT OF ANY INFORMATION AVAILABLE ON THE SERVICE. YOU HEREBY WAIVE ANY AND ALL CLAIMS AGAINST SHEKNOWS, LLC AND ITS SUBSIDIARIES, DIVISIONS, AFFILIATES, AGENTS, REPRESENTATIVES AND LICENSORS ARISING OUT OF YOUR USE OF THE SERVICE AND THE INFORMATION AVAILABLE THEREON.
b. IF SERVICE PROVIDER IMPROPERLY DENIES AN ENTRANT ANY CREDITS EARNED BY ENTRANT, SERVICE PROVIDER'S LIABILITY WILL BE LIMITED TO THE EQUIVALENT AMOUNT OF CREDITS ACTUALLY EARNED BY ENTRANT. BY PARTICIPATING IN THE SERVICE, AN ENTRANT WAIVES ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION RELATED TO SUCH MATTERS IN ANY FORUM BEYOND ONE (1) YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED.
c. TO THE FULLEST EXTETN ALLOWABLE BY LAW, SERVICE PROVIDER AND ITS SUBSIDIARIES, DIVISIONS, AFFILIATES, AGENTS, AND REPRESENTATIVES DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESSED OR IMPLIED, REGARDING THE PRODUCTS OR SERVICES OFFERED BY ANY PRIZE VENDOR , INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.
13. Indemnity:
You agree to indemnify and hold us, our parent company(s), subsidiaries, affiliates, officers, agents, representatives, Promotional Entities and other partners and employees, harmless from any loss, liability, claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Site, including, without limitation, any information or content you post to the Site or any interference with the operation of the Site. You accept all responsibility for, and hereby indemnify and hold us harmless from and against, any actions taken by any third party who uses your Account with your permission, including, but not limited to, accrual of Credits, redemption of Credits, and disclosure of passwords to third parties.
14. Fraud; Violation of Terms
a. We reserve the right to remove Credits from the Account or discontinue the participation privileges of any User who engages in any fraudulent activity or uses the Service in a manner inconsistent with these Rules or any federal, state or local laws, statutes or ordinances. Discontinued participation may result in the loss of all accumulated Credits. In addition to the discontinuance of participation privileges, we reserve the right to take appropriate administrative and/or legal action, including criminal prosecution, as we deem necessary in our sole discretion.
b. If, in Service Providers' sole opinions, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Service, or if technical difficulties compromise the integrity of the Service, Service Providers reserve the right to terminate the Service, disqualify any individual who has tampered with Service and conduct a random drawing to award the prize using all eligible entries received as of termination date. Any attempt to deliberately hamper the operation of this Service is unlawful and subject to legal action by Service Providers and/or their agents.
c. The Service is provided to Users who are individual, natural persons for their own personal use. Corporations, associations or other groups may not participate in the Service. It is fraudulent for any individual or company, association, or group to direct, encourage, or allow individuals to use a single Account for the purpose of accumulating Credits for combined use.
d. USERS are solely responsible for any fraudulent use of your Credits that could occur due to the theft of or sharing of your password.
15. Intellectual Property:
The materials used and displayed on the Service, including, but not limited to, text, software, photographs, graphics, illustrations and artwork, music, video and sound, and names, logos and trademarks, are the property of SheKnows, LLC or its affiliates or licensors and are protected by copyright, trademark and other laws. Any such content may be displayed solely for your personal, non-commercial use. You agree not to modify, reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any such material without the written permission of SheKnows, LLC or the appropriate affiliate.
16. Disputes:
These Rules shall be governed by and construed in accordance with the laws of the State of California. All applicable federal, state, and local laws and regulations apply. The invalidity or unenforceability of any provisions of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision of these Rules is found to be invalid or unenforceable, these Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. Service Providers and their affiliates, representatives, agents, directors, officers, shareholders and employees are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, inaccurate, incomplete, or unintelligible entries; (ii) telephone, electronic, hardware or software program, network, Internet, computer or other malfunctions, failures, or difficulties of any kind, whether human or technical; (iii) failed, incomplete, garbled, or delayed computer transmissions; (iv) any condition caused by events beyond their control; (v) any injuries, losses, or damages of any kind arising in connection with or as a result of the prize, or acceptance, delivery or failure to timely deliver, possession, or use of the prize, or from participation in the Service; or (vi) any printing or typographical errors in any materials associated with the Service. Further, in any such dispute, under no circumstances will User be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, including attorneys' fees, other than User's actual out-of-pocket expenses (i.e. costs associated with participating in the Service), and User further waives all rights to have damages multiplied or increased. Under no circumstances shall we be liable to you or any third party for any indirect, incidental, consequential, special or exemplary damages, even if advised of the possibility of such damages, arising from the use of or inability to use the service or any other provision of these Rules.
17. Modifications and Termination of the Service:
a. Service Provider reserves the right to modify any of the Rules set forth herein, including but not limited to, methods by which Entrants can collect Credits, the eligible Prizes to be purchased, the number of Credits associated with the purchase of eligible Prizes, the number of Credits that may be redeemed through the Service, and any of the options made available to Entrants with respect to their Accounts - at any time, even though these changes may affect an Entrant's ability to accrue or use his/her Credits.
b. Service Provider reserves the right to terminate or temporarily suspend the Service at any time, for any reason, even though termination may affect an Entrant's ability to accrue or use his/her Credits. In the event of an early termination, Entrant's will have 30 days from the date Service termination is announced to redeem Credits.
c. Entrant's continued participation in the Service constitutes Entrant's acceptance of any changes to these Rules. Entrants are responsible for remaining knowledgeable as to any changes that Service Provider may make to these Rules. The most current version of these Rules will be available at http://rewards.sheknows.com/registration/rules and will supersede all previous versions of these Rules.
